Terms of sale for Digital content

These Terms set out the rules for selling digital content (SmoothWizard Pro license) via the online store, Consumer rights, and the Seller’s duties. Entering into a SmoothWizard Pro sale requires accepting these Terms and the Application License Agreement (EULA) at checkout on pay.smoothwizard.com. Use of the desktop and mobile apps is also governed by the EULA and the Privacy Policy.
§ 1 DEFINITIONS
Business days - Monday-Friday, excluding public holidays in Poland.
Store - the SmoothWizard sales and account service at pay.smoothwizard.com (including /pl/… language paths) through which the Seller offers Digital content.
Marketing site - the SmoothWizard website at smoothwizard.com (product info, guides, legal documents). It does not run payment checkout.
Seller - Artur Spychalski conducting business as SkullMedia Artur Spychalski, NIP 5922292367, REGON 524191477.
Buyer - any natural or legal person purchasing in the Store.
Consumer - a consumer within the meaning of Polish civil law / applicable consumer law.
Trader on consumer rights - a natural person concluding a contract directly related to their business activity where the contract is not of a professional nature for them (in particular a sole trader). To the extent Polish consumer law and unfair-terms rules grant such a person consumer-like protection, the Consumer provisions of these Terms apply accordingly.
Account - the Buyer’s individual Store (Pay) account, required to purchase and attach Pro entitlements.
Digital content / Product - paid access to the SmoothWizard Pro plan (license / entitlement) assigned to the Account after payment, enabling Pro features in the Application under the EULA.
Application - SmoothWizard software for Windows (desktop), distributed among others from the Marketing site.
Mobile app - SmoothWizard Mobile (iOS / Android) - a free companion that connects to the Application on the local network (LAN); it is not a separate product sold in the Store.
Order - the Buyer’s declaration of intent in the Store aimed at concluding a contract for Digital content.

§ 3 TECHNICAL REQUIREMENTS AND PRODUCT SCOPE
3.1. To use the Store you need an Internet-connected device, a current browser, and an active Store Account.
3.2. To use the Product (Pro) you need the Application on a compatible Windows system (generally Windows 10/11 x64) and sign-in with the Account that holds the paid entitlement. Technical details and system-optimization risk are described in the EULA.
3.3. The Mobile app is optional and free; it controls the Application on the same local network (PIN). The Store does not sell a separate mobile license.
3.4. The Store sells Digital content (Pro) only. It does not sell physical goods and does not charge shipment delivery fees.
§ 4 PURCHASES IN THE STORE
Before starting payment in the Store, the Buyer ticks the required consents, including acceptance of these Terms and the EULA and - where digital content is supplied immediately - consent to begin performance before the withdrawal period expires, with acknowledgement of the loss of the right of withdrawal (Article 38 point 13 of the Polish Consumer Rights Act). The consent wording in the pay.smoothwizard.com interface forms an integral part of checkout.
4.1. Purchase requires a signed-in Account. The Store does not offer guest checkout - the Pro entitlement is attached to the Account.
4.2. The Product offer includes in particular a monthly auto-renew subscription - paid via Stripe or PayPal (methods shown at checkout).
4.3. Store prices are gross (including taxes where shown). The base offer price is in PLN. Prices in other currencies (e.g. USD, EUR, GBP - when available in the Store) come from converting from PLN plus an additional percentage FX conversion fee set in the Store - so amounts in each currency may differ slightly from a plain exchange-rate conversion. Current prices, currency, and methods are shown before payment.
4.4. Promo codes and partner discounts apply under Store rules. As a rule: promo and partner codes do not stack (the higher discount wins). Affiliate-balance checkout credit applies only when the Store offers that path at checkout (it does not currently apply to Stripe / PayPal auto-renew).
4.5. Placing an Order and successful payment conclude a contract for Digital content on these Terms and the offer shown at checkout.
4.6. The affiliate program (commissions, BLIK / bank payouts) is governed by the separate Partnership Program Regulations - it does not replace these sales Terms.
§ 5 PAYMENTS
5.1. Payments in the Store are handled by external operators: Stripe (auto-renew subscription) and PayPal Direct (PayPal Billing / Subscriptions - a separate agreement with PayPal). The Buyer chooses a gateway at checkout on pay.smoothwizard.com.
5.1a. Within Stripe Checkout (when available in the Buyer’s country / from the operator) methods may include: payment cards (Visa, Mastercard), Apple Pay, Google Pay, Link, BLIK (including Automatic BLIK for PLN subscriptions), PayPal (as a method inside Stripe), Revolut Pay, Klarna, and for EUR also iDEAL and Satispay. The list shown in Checkout depends on currency, region, and operator configuration.
5.1b. PayPal may appear in two ways: (1) as a method in Stripe Checkout, or (2) as a direct PayPal Billing integration (PayPal Direct). Both paths lead to an auto-renew Pro subscription.
5.2. BLIK for subscriptions is available as a method in Stripe Checkout (especially for PLN). A separate recurring BLIK via a local acquirer (e.g. Autopay / P24 / Cashbill) will appear in these Terms only after it is enabled in the Store. The Store does not offer one-off / prepaid Pro packs.
5.3. Payment card numbers and PayPal wallet credentials are not stored in SmoothWizard databases - vaulting / settlement is done by the chosen operator (Stripe or PayPal).
5.4. For Stripe or PayPal subscriptions, later periods are billed on the operator schedule (Billing / Subscriptions) until the Buyer cancels renewal in the Account or in the operator panel (effect from the end of the paid period unless the offer states otherwise).
5.4a. If the Buyer already has active prepaid Pro access (including an existing subscription, a WordPress store migration, or another period already paid for) and enters into a new auto-renew subscription (Stripe or PayPal Direct) to attach a payment method, the first recurring charge is deferred until the end date of that prepaid access. Until then, Pro runs on the fee already paid. The operator (in particular Stripe) may show this deferral in its UI as a trial / "X days free" - this is not an extra free offer from the Seller, but a technical way to postpone the first charge. On the prepaid end date, standard subscription billing starts under the price list, unless the Buyer cancels renewal earlier. PayPal Direct uses an equivalent deferred start (start_time).
5.5. Product prices in the Store are shown as gross amounts. The catalogue base currency is the Polish zloty (PLN). Prices in other currencies (USD, EUR, GBP) are set as fixed catalogue amounts in that currency, taking into account the NBP reference rate and a protective FX markup (FX fee) - currently up to 15% - to cover exchange-rate movement and settlement costs. The current price list in the selected currency is shown in the Store before you conclude the contract.
5.6. Refreshing foreign-currency prices (including based on NBP rates) may happen periodically (typically no more than about once a month) and applies only to new orders and newly started subscriptions. The renewal amount of an active subscription in a given currency stays unchanged versus the terms in force when that subscription was concluded / last bindingly updated, until the Seller changes the main catalogue price in PLN.
5.7. If the main catalogue price in PLN changes, the Seller must notify the Buyer with an active subscription of the price change (including in the subscription billing currency) by e-mail to the address linked to the Account, with reasonable advance notice before the change takes effect for subsequent billing periods, in line with applicable law and the payment operator's terms. If the Buyer does not accept the new price, they may cancel renewal under the Account / payment portal rules.
§ 6 ORDER FULFILLMENT (DIGITAL CONTENT)
6.1. After the operator confirms payment, the Seller grants or extends the Pro entitlement on the Buyer’s Account.
6.2. Fulfillment means making Digital content available on the Account / via the license API - with no physical shipment. The Buyer activates Pro by signing into the Application with the Account that purchased the entitlement.
6.3. Device binding (Footprint / HWID), device limits, and Application use rules are set out in the EULA - not in these sales Terms.
6.4. If operator confirmation is delayed, the entitlement may appear with delay; keep the transaction proof and contact [email protected] if needed.
§ 7 RIGHT OF WITHDRAWAL
7.1. A Consumer may withdraw from a distance contract with the Seller via the Store within 14 days without giving a reason - subject to § 8.
7.2. To withdraw, the Consumer informs the Seller (§ 2) by a clear statement (e.g. email). The Annex 1 model form may be used but is not mandatory.
7.3. Sending the statement before the 14-day deadline is sufficient to meet the time limit.
7.4. Effects: on valid withdrawal the Seller refunds payments received without undue delay and no later than 14 days after receiving the statement, using the same payment method, unless the Consumer expressly agrees otherwise at no cost to them.
§ 8 EXCEPTIONS TO THE RIGHT OF WITHDRAWAL
Loss of the right of withdrawal under Article 38 point 13 requires the Buyer's prior express consent at Store checkout and acknowledgement of that loss. This paragraph alone does not replace that consent.
8.0. The Seller provides the Consumer (and a Trader on consumer rights, to the extent required by law) with confirmation of the contract and of receipt of consent to supply Digital content before the withdrawal period expires, on a durable medium - an email confirming the Order / Pro activation (Article 21(2) of the Polish Consumer Rights Act).
8.1. The right of withdrawal from a distance contract does not apply to contracts for digital content not supplied on a tangible medium if performance has begun with the Consumer’s prior express consent and acknowledgment of losing the withdrawal right (Polish Consumer Rights Act Art. 38 point 13 - as applicable).
8.2. If during purchase / Pro activation the Store or Application collects such consent and acknowledgment, and Digital content performance then begins (entitlement grant / Pro use), the Consumer loses the withdrawal right to that extent.
8.3. Until a full consent mechanism is deployed at checkout, the Seller will not rely on loss of withdrawal rights solely because the Consumer signed into the Application - § 7 applies unless § 8.1 conditions are met.
§ 9 COMPLAINTS
Towards a Consumer (and a Trader on consumer rights, to the extent required by law) the Seller is liable for conformity of Digital content / a digital service with the contract under the rules on contracts for the supply of digital content or digital services (Polish Consumer Rights Act as aligned with Directive 2019/770). Physical-goods warranty rules do not apply. A complaint may cover, among other things, lack of conformity with the offer description, Pro license activation issues, and material failures to supply updates needed to maintain conformity in the declared environment (Windows 10/11 x64), subject to the EULA on system-optimisation risks.
9.1. Complaints about Orders, payments, or Pro entitlement access: [email protected], with Account email, transaction id/date, and a description.
9.2. The Seller reviews complaints within 14 days of a complete submission and informs the Buyer of the outcome.
9.3. Complaints about Application behaviour (system optimization, compatibility) are assessed with the EULA; the Store is responsible for correctly granting Digital content after payment.
9.4. Consumers may use out-of-court dispute tools (e.g. ODR: ec.europa.eu/consumers/odr).
9.4a. Independently of the ODR platform, a Consumer may use out-of-court complaint and redress mechanisms, including assistance from a Municipal or District Consumer Ombudsman and the competent Provincial Trade Inspection authority. Information: uokik.gov.pl.
§ 10 PERSONAL DATA
The controller is the Seller. Processing rules for the Store, Application, Mobile app, and Marketing site are in the Privacy Policy.
§ 11 RESERVATIONS AND CHANGES
11.1. The Application may change Windows settings for optimization - use involves risks described in the EULA. Buying Pro does not guarantee a specific FPS increase or no conflicts with other software.
11.2. The Seller may update these Terms for important reasons (law, payment methods, offer model). The current version is published on this page with an update date. Material changes will be communicated as used in the Store (e.g. email / Account notice) with reasonable advance notice where required.
11.3. Matters not covered are governed by Polish law and consumer-protection rules. Court jurisdiction follows general rules; for Consumers, also consumer-protective venue rules.
§ 12 NON-CONSUMER BUYERS
This section does not limit the rights of a Trader on consumer rights under mandatory law.
Withdrawal (§ 7-8) and certain consumer rights do not apply to non-Consumers unless mandatory law says otherwise. The Seller’s liability to such Buyers is limited - to the fullest extent permitted by law - to the price paid for the relevant Order.

Account terms (Pay)

This part supplements the Store Terms with rules for the Account at pay.smoothwizard.com. If there is a conflict, the Digital content sales Terms (§ 1-12) prevail; for personal data, the Privacy Policy prevails. Use of the Application is also governed by the EULA.
A. Nature of the Account
- The Account is free of charge. It is used for Pro purchases, payment history, subscription management (auto-renew), notification preferences, identity linking (sign-in), and - if enabled - the affiliate program.
- Buying Pro and attaching the entitlement requires an active Account. The Store does not offer guest checkout.
- The Account identifies one user. Sharing login credentials with third parties is prohibited; unauthorized use is at the Account holder’s risk unless caused by the Seller.
B. Registration and sign-in
- Email / password registration requires accurate Account and payment data and email verification before full sign-in (per the Store process).
- Sign-in may use email / password or identity providers enabled in the Store (e.g. Google, Discord, Twitch). Steam - if enabled - is for sign-in / linking only after it is linked to an existing Account (Steam does not provide email for standalone signup).
- External accounts may be linked under Store rules (including provider uniqueness). Unlinking may be limited when a provider is the only remaining sign-in method.
- Protect your password and Account access; promptly notify the Seller of suspected Account takeover ([email protected]).
- Optional 2FA (TOTP) may be available in Account security settings.
- Password reset / email change follow the Store process (confirmation links). Password reset may invalidate active sessions.
C. Account panel - features
- Pro entitlement overview (status / period), billing history, cancel or resume subscription auto-renew (effect from the end of the paid period unless the offer states otherwise).
- Profile (e.g. display name), language preferences, and email notification consents (including period-end reminders when enabled).
- Affiliate program - if the Buyer joins - under the separate Partnership Program Regulations.
- Checkout display currency may be chosen in the Store (e.g. cookie) and need not be a separate Account setting.
- Device binding (Footprint / HWID) and Application license limits are set by the EULA - not the Account panel.
D. Account user duties
- Do not circumvent license limits, commit payment fraud, or use the Account for spam or acts contrary to law, these Terms, or the EULA.
- Do not create Accounts solely to abuse promotions, partner codes, or trial / entitlement limits.
E. Suspension, disablement, deletion
- The Seller may suspend or disable the Account (including blocking sign-in) for Terms/EULA breaches, payment fraud, abusive chargebacks, license-limit circumvention, or a reasonable security threat.
- Account deletion and GDPR requests (access, rectification, erasure, restriction, etc.) go to [email protected] - details in the Privacy Policy. The Store full self-service deletion may be limited technically; the standard path is a panel request in the panel; requests are handled under law and technical feasibility.
- Deleting the Account does not waive obligations from contracts already concluded unless mandatory law says otherwise; Pro access may end with the Account / under the EULA.
The Buyer may submit an Account deletion request in the Account panel (Pay), including a reason. The request goes to Store support and does not delete the Account automatically. Until it is handled, the Account continues under the existing rules. After approval the Store deletes or anonymises Account data as required by law, while retaining data needed for settlements, accounting, claims and legal duties (including payment history). Re-registering with the same email may be treated as a new Account - without automatic restoration of prior Pro access, unless law or contract says otherwise.

- Product support may also be available via forms / channels shown in the Store (e.g. Discord) - these do not replace statutory complaints.
Newsletter terms (Pay)

These terms set out the free email communication service (newsletter / mail preferences) provided by the Provider via the Account at pay.smoothwizard.com. Personal data is governed by the Privacy Policy.
§ 1 Definitions
Newsletter - a free electronic service enabling the Recipient to receive emails from the Provider about SmoothWizard / the Store (including product news, app updates, promotions, blog content) according to categories enabled in Account Preferences.
Store - pay.smoothwizard.com (and language paths) where the Recipient manages the Account and email preferences.
Provider - Artur Spychalski conducting business as SkullMedia Artur Spychalski, NIP 5922292367, REGON 524191477.
Recipient - a person using the Newsletter service (generally a Store Account holder).
§ 2 Scope of the service
2.1. The service is voluntary and free. It is not a condition of buying Pro unless checkout separately requires marketing consent.
2.2. In Account Preferences the Recipient may enable / disable, among others (labels as shown in the Store panel):
- newsletter (product news / occasional updates),
- important PC app updates,
- important mobile app updates,
- promotions and discounts,
- blog information.
2.3. Regardless of marketing Preferences, the Provider may send emails required by contract or law (including Terms / Privacy Policy changes, subscription price changes needing confirmation, payment confirmations, password reset, Account security). Period-end reminders - under separate Account notification settings when available.
2.4. Using the service requires Internet access, an active Account (or another signup process offered by the Store), and a working email inbox.
§ 3 Forming and ending the Newsletter agreement
3.1. The Newsletter service agreement for a given category is formed when the Recipient enables that category in Account Preferences or otherwise expressly orders the service in a process offered by the Store (e.g. at Account registration - per the current form).
3.2. Messages are sent to the email linked to the Account (or provided at signup).
3.3. The Recipient may opt out of the Newsletter / a category at any time, without reason and without cost, via Account Preferences (pay.smoothwizard.com/…/preferences) or by emailing [email protected]. Opt-out stops sending for the requested scope within a reasonable technical time.
3.4. The Provider may suspend or end the service for the Recipient in case of unlawful content, abuse, or breach of law.
§ 4 Complaints
Newsletter complaints: [email protected]. The Provider responds within 14 days of a complete complaint.
§ 5 Personal data
The controller is the Provider. Bases and purposes (including marketing / product information) are in the Privacy Policy. The Recipient has GDPR rights (including access, rectification, erasure, objection to marketing).
§ 6 Changes to these Newsletter terms
The Provider may change these terms for important reasons (service modernization, law changes, Account model changes). Material changes may be emailed or published in the Store with reasonable notice. Non-acceptance = opt out of the Newsletter before the changes take effect ([email protected] or Preferences). Unlawful content from the Recipient is prohibited.
